2.2 These Terms and Conditions govern all Bookings and Services provided by the Company to its Clients and constitute the entire Agreement between the parties with respect to the subject matter hereof, superseding all prior discussions, representations, or agreements whether written or oral.

2.3 These Terms and Conditions apply to all individual consumer Clients and, where applicable, to any commercial or business Clients engaging the Company for residential property cleaning services.

2.4 The Company reserves the right to update or amend these Terms and Conditions from time to time in accordance with Section 17 of this Agreement. Clients are encouraged to review the Terms and Conditions on the Website prior to each Booking.

2.5 Nothing in these Terms and Conditions is intended to exclude or limit any rights the Client may have under applicable United States federal law or Texas state consumer protection law that cannot lawfully be excluded or limited.

SECTION 3 – SERVICES

3.1 The Company agrees to provide the Services described in the Booking Confirmation to the Client at the Property on the Service Day, subject to the terms and conditions set out in this Agreement.

3.2 The specific scope of the Services to be provided will be as agreed at the time of Booking. The Client is responsible for ensuring that the description of Services requested accurately reflects the Client’s requirements. The Company shall not be obligated to perform any services that fall outside the agreed scope unless a separate written agreement is made.

3.3 The Company shall use reasonable skill and care in providing the Services and shall ensure that all Service Providers are appropriately trained and competent to carry out the Services.

3.4 The Company reserves the right to modify the specific cleaning methods, products, or equipment used to deliver the Services at its reasonable discretion, provided that such modifications do not materially reduce the quality or scope of the Services agreed upon.

3.5 Where the Company determines, in its reasonable judgment, that the condition of the Property requires additional time or resources beyond what was originally estimated, the Company will notify the Client as soon as reasonably practicable and will seek the Client’s agreement before performing any additional services for which additional Charges may apply.

3.6 The Company provides residential cleaning services only. The Company does not provide specialist restoration, biohazard remediation, pest control, or other specialist services outside the scope of standard residential cleaning.

3.7 The Services are subject to the Client Responsibilities set out in Section 7 of these Terms and Conditions. Failure by the Client to fulfill those responsibilities may affect the Company’s ability to deliver the Services and may relieve the Company of its obligations under this Agreement in whole or in part.

3.8 The use of subcontractors and third-party service providers is addressed in Section 13 of these Terms and Conditions.

SECTION 4 – BOOKING AND CONFIRMATION

4.1 A Booking may be made by the Client through the Website, by telephone at 972-961-7010, or by email at hello@swishcleans.com. All Bookings are subject to availability and are not confirmed until the Client receives a written Booking Confirmation from the Company.

4.2 The Client warrants that all information provided at the time of Booking is accurate, complete, and up to date, including but not limited to the address of the Property, the type and scope of Services required, and any relevant information about the condition of the Property.

4.3 The Company reserves the right to decline or withdraw from any Booking at its reasonable discretion, including in the circumstances set out in Section 8 of these Terms and Conditions (Right to Refuse Service).

4.4 Recurring Bookings will be confirmed at the time of initial scheduling. The Client acknowledges that Recurring Bookings create a series of individual service appointments and that the terms of this Agreement apply to each appointment within that series.

4.5 Where a Client requests any changes to a confirmed Booking, such changes are subject to availability and must be requested as soon as reasonably practicable. Changes to the scope of Services may result in an adjustment to the applicable Charges, and the Company will notify the Client of any such adjustment prior to confirming the change.

4.6 The Company will make reasonable efforts to provide Services at the scheduled time and date. However, specific arrival times may be subject to variation. Where the Company anticipates a significant delay or scheduling change, it will notify the Client as soon as reasonably practicable.

SECTION 5 – PAYMENT TERMS

5.1 Charges

5.1.1 The Charges for the Services are as set out in the quotation provided by the Company or as agreed in the Booking Confirmation. All Charges are quoted in United States Dollars and are inclusive of all applicable state and local taxes unless otherwise stated.

5.1.2 The Company reserves the right to adjust its pricing from time to time. Where a price adjustment affects an existing Recurring Booking, the Company will provide the Client with no less than thirty (30) days’ written notice of the change before the revised pricing takes effect. Continued use of the Services after the notice period constitutes acceptance of the revised pricing.

5.1.3 For one-time Bookings, the price agreed at the time of Booking shall apply to that specific appointment. For Recurring Bookings, the pricing agreed at the time of the initial Booking shall apply unless adjusted in accordance with clause 5.1.2.

5.2 Payment Method

5.2.1 The Company accepts payment by credit card and debit card processed online. The Company does not accept cash, check, or any other form of payment unless separately agreed in writing.

5.2.2 By providing payment card details, the Client authorizes the Company to charge the applicable Charges to the card provided in connection with any Booking made under this Agreement.

5.3 Payment Due Date

5.3.1 Payment for Services is due on the Service Day. The Company will charge the Client’s card on file on the date of service unless otherwise agreed in writing.

5.3.2 The Client is responsible for ensuring that valid payment details are on file with the Company and that sufficient funds are available at the time payment is processed.

5.4 Late Payment

5.4.1 If the Company is unable to collect payment from the Client’s payment card on the Service Day, the Company will notify the Client and allow a reasonable opportunity to update payment details.

5.4.2 Where payment remains outstanding following notification by the Company, the Company reserves the right to suspend the provision of Services, including any future scheduled Bookings, until all outstanding amounts have been paid in full.

5.4.3 The Company also reserves the right to refuse acceptance of future Bookings from any Client with an outstanding unpaid balance until such balance has been settled.

5.4.4 Nothing in this clause limits the Company’s right to pursue recovery of outstanding Charges through any lawful means available, including referral to a collections agency or initiation of legal proceedings.

5.5 Disputed Charges

5.5.1 If the Client believes that an error has been made in any charge applied to their account, they must contact the Company in writing at hello@swishcleans.com within fourteen (14) days of the charge being applied. The Company will investigate the matter and respond within a reasonable time. Initiating a chargeback with a card issuer without first contacting the Company may be treated as a breach of this Agreement.

SECTION 6 – CANCELLATION AND RESCHEDULING POLICY

6.1 Notice Requirements

6.1.1 The Client may cancel or reschedule a confirmed Booking by providing the Company with at least twenty-four (24) hours’ notice prior to the scheduled start time of the Service.

6.1.2 Notice of cancellation or rescheduling must be given directly to the Company by telephone at 972-961-7010 or by email at hello@swishcleans.com. Cancellations or rescheduling requests made through any other channel may not be accepted and will not be treated as valid notice under this Agreement.

6.2 Late Cancellation Fee

6.2.1 Where a Client cancels or reschedules a Booking with less than twenty-four (24) hours’ notice prior to the scheduled start time, the Company reserves the right to charge a late cancellation fee equal to fifty percent (50%) of the full Charges applicable to the cancelled Service appointment.

6.2.2 The late cancellation fee reflects the Company’s costs associated with scheduling, resource allocation, and the loss of the ability to fill the appointment with another client.

6.3 Client No-Access Policy

6.3.1 Where a Service Provider arrives at the Property at the scheduled time and is unable to gain access to the Property for any reason attributable to the Client, including but not limited to the Client not being present, failure to provide keys, entry codes, or access instructions, a no-access charge equivalent to fifty percent (50%) of the full Charges for the scheduled Service will apply.

6.3.2 The Company will make reasonable attempts to contact the Client upon encountering a no-access situation. If access cannot be obtained within a reasonable time following such contact, the Service Provider may leave the Property and the no-access charge will apply.

6.4 Recurring Bookings

6.4.1 Where a Client wishes to cancel or pause a Recurring Booking arrangement, the standard twenty-four (24) hours’ notice requirement applies to each individual appointment within the Recurring Booking series. Notice given for one appointment within a Recurring Booking does not cancel the entire series unless the Client explicitly requests cancellation of the full series.

6.4.2 Where a Client wishes to permanently cancel a Recurring Booking arrangement, the Client should notify the Company in writing by email at hello@swishcleans.com. Permanent cancellation of a Recurring Booking will take effect upon acknowledgment from the Company.

6.5 Company Cancellation Rights

6.5.1 The Company reserves the right to cancel or reschedule a Booking in the event of a Force Majeure Event, a staffing emergency, or in any of the circumstances described in Section 8 of these Terms and Conditions. The Company will make reasonable efforts to notify the Client as soon as practicable and to offer an alternative appointment where possible.

6.5.2 Where the Company cancels a Booking without adequate cause and not as a result of Client fault or a Force Majeure Event, the Client will not be charged for the cancelled appointment.

6.6 Refunds

6.6.1 Where a Client has prepaid for Services and a valid cancellation is made in accordance with clause 6.1, any prepaid amount will be refunded or credited to the Client’s account within a reasonable time.

6.6.2 Late cancellation fees and no-access charges, where applicable, are non-refundable.

SECTION 7 – CLIENT RESPONSIBILITIES

7.1 The Client acknowledges that the proper delivery of Services depends in part on the Client fulfilling certain responsibilities, as set out in this Section. Failure to fulfill these responsibilities may affect the quality or delivery of the Services and may limit the Company’s obligations under this Agreement.

7.2 Access to Property

7.2.1 The Client must ensure that the Company’s Service Providers have safe, unobstructed, and timely access to the Property at the time of the scheduled Service. This includes providing accurate property address details, any necessary access codes, gate codes, or keys, and ensuring that relevant parties are aware of the appointment where access depends on a third party.

7.2.2 Where access to a communal or managed building is required, the Client is responsible for making appropriate arrangements with building management or homeowners’ associations as necessary to facilitate access.

7.3 Pets

7.3.1 The Client must ensure that all pets are safely secured in a designated area away from the work areas during the provision of Services. The Company’s Service Providers are not required to work in areas where pets are present and unsecured, and may decline to service such areas without any reduction in the applicable Charges.

7.3.2 The Company accepts no responsibility or liability for any injury, escape, or harm to pets arising out of or in connection with the provision of Services, where the Client has failed to secure pets in accordance with this clause.

7.4 Fragile, Valuable, and Personal Items

7.4.1 The Client is responsible for removing or securing all fragile, valuable, irreplaceable, or sentimental items from areas to be cleaned prior to the arrival of the Service Provider. This includes but is not limited to antiques, collectibles, artwork, jewelry, cash, prescription medications, electronic devices, and documents.

7.4.2 The Company will take reasonable care in the provision of the Services; however, the Company shall not be liable for damage to any item that the Client has failed to remove or secure in accordance with this clause, including where such damage arises from ordinary cleaning activities.

7.5 Utilities

7.5.1 The Client must ensure that working utilities, including hot and cold running water and electricity, are available and accessible at the Property during the provision of the Services. Where utilities are not available, the Company reserves the right to reschedule the appointment, and any late cancellation or rescheduling fee may apply.

7.6 Accurate Information

7.6.1 The Client must disclose to the Company at the time of Booking any relevant information about the condition of the Property that may affect the Services, including but not limited to extreme levels of soiling, the presence of hazardous substances, mold, pest infestations, or any other health or safety concern.

7.6.2 Failure to disclose relevant information may result in the Company being unable to complete the Services as agreed, and the Company reserves the right to charge for any additional time or resources required as a result.

7.7 Safe Environment

7.7.1 The Client must ensure that the Property does not pose an unreasonable health or safety risk to Service Providers. The Company reserves the right to refuse or discontinue Services in circumstances where the Property or its occupants present a safety concern, as further described in Section 8 of these Terms and Conditions.

SECTION 8 – RIGHT TO REFUSE OR DISCONTINUE SERVICE

8.1 The Company reserves the right to refuse, suspend, or discontinue Services at any time and without liability to the Client in any of the following circumstances:

8.1.1 The Property poses a health or safety risk to the Company’s Service Providers, including but not limited to the presence of biohazardous materials, hazardous chemicals, evidence of active pest infestation, extreme structural disrepair, or any other condition that creates an unreasonable risk to the health or safety of Service Providers.

8.1.2 Any individual at the Property engages in abusive, threatening, intimidating, or otherwise unacceptable behavior toward any Service Provider. This includes verbal abuse, harassment, physical threats, or any conduct that the Company determines creates an unsafe or hostile working environment.

8.1.3 The Client has an outstanding unpaid balance on their account and has failed to remedy such balance following notification from the Company.

8.1.4 The Client has materially breached any provision of these Terms and Conditions.

8.2 Where the Company refuses or discontinues Services pursuant to clause 8.1.1 or 8.1.2, the Company reserves the right to charge the applicable no-access or late cancellation fee depending on the circumstances, including where Service Providers have already traveled to the Property.

8.3 The Company will endeavor to communicate any decision to refuse or discontinue Services to the Client as promptly as reasonably practicable, except where the circumstances make such communication impractical or unsafe.

8.4 The Company’s right to refuse service does not constitute a waiver of any other right or remedy available to it under this Agreement or under applicable law.

SECTION 9 – SERVICE STANDARDS, QUALITY GUARANTEE, AND COMPLAINTS

9.1 Service Standard

9.1.1 The Company warrants that it will provide the Services with reasonable skill and care, using appropriately trained Service Providers and suitable equipment and cleaning products.

9.1.2 The Company aims to meet or exceed the Client’s reasonable expectations as to the standard of cleaning agreed upon at the time of Booking.

9.2 Satisfaction Guarantee

9.2.1 The Company operates a satisfaction guarantee. If the Client is not satisfied with the standard of the Services provided, the Client may request a Re-Clean of the affected areas, subject to the conditions set out in this Section.

9.2.2 To be eligible for a Re-Clean, the Client must notify the Company of any dissatisfaction in writing by email at hello@swishcleans.com within twenty-four (24) hours of the completion of the Service.

9.2.3 Complaints or requests for a Re-Clean received after the twenty-four (24) hour window will not be eligible for a complimentary Re-Clean unless the Company, in its absolute discretion, agrees otherwise.

9.2.4 Where a Re-Clean is agreed, the Company will return to the Property and re-clean the specific areas identified in the Client’s Complaint within forty-eight (48) hours of the Company’s receipt and acceptance of the Complaint, subject to scheduling availability.

9.2.5 The Re-Clean guarantee applies to work carried out by the Company’s Service Providers during the original Service appointment. It does not apply to areas or tasks outside the agreed scope of the original Service, or to conditions that have changed following the completion of the original Service.

9.2.6 The Re-Clean represents the Company’s primary remedy for dissatisfaction with the Services and shall be offered in the first instance before any refund is considered. Refunds are not automatically available under the satisfaction guarantee.

9.3 Complaint Procedure

9.3.1 The Company takes Complaints seriously and is committed to resolving any issues promptly and fairly.

9.3.2 Any Client wishing to make a Complaint should contact the Company as soon as possible, and in any event within twenty-four (24) hours of the Service completion, by:

Email: hello@swishcleans.com
Telephone: 972-961-7010

9.3.3 Complaints should include the following information where possible: the Client’s name and contact details, the address of the Property, the date of the Service, a description of the issue, and, where applicable, supporting photographs.

9.3.4 The Company will acknowledge the Complaint promptly and will endeavor to investigate and provide a substantive response within five (5) Business Days. Where a more complex investigation is required, the Company will notify the Client of the expected timeframe.

9.3.5 If the Complaint is upheld, the Company will offer an appropriate remedy, which may include a Re-Clean, a partial credit, or such other resolution as the parties may agree.

9.4 Disputes

9.4.1 In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the matter directly through good-faith communication with the Company’s management team.

9.4.2 If the dispute cannot be resolved through direct communication within a reasonable time, the parties agree to attempt resolution through a mutually agreed neutral mediation process before initiating any formal legal proceedings.

9.4.3 Nothing in this clause prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction where circumstances require it.

SECTION 10 – LIABILITY

10.1 General Liability

10.1.1 The Company shall be liable to the Client for direct loss or damage to property caused by the proven negligence of the Company or its Service Providers during the provision of the Services.

10.1.2 The Company’s total aggregate liability to the Client in respect of any single claim or series of related claims arising out of or in connection with the provision of Services shall not exceed the total value of the Charges paid or payable by the Client for the specific Service appointment giving rise to the claim.

10.2 Pre-Existing Damage and Conditions

10.2.1 The Company shall not be liable for any damage to or deterioration of items or areas of the Property that were already in a damaged, fragile, defective, or compromised condition prior to the commencement of the Services.

10.2.2 The Client is strongly encouraged to notify the Company of any pre-existing damage or delicate surfaces at the time of Booking or at the commencement of the Service. Where the Company is made aware of pre-existing conditions, the Service Provider will take reasonable additional care; however, the Company accepts no liability for damage arising from cleaning activities where the underlying condition or fragility of the item or surface is the contributing cause.

10.3 Exclusions from Liability

10.3.1 Subject to clause 10.4, the Company shall not be liable to the Client for:

(a) Any indirect, consequential, or incidental loss, including loss of use, loss of income, or loss of enjoyment;

(c) Any damage or deficiency resulting from the Client’s failure to fulfill their responsibilities under Section 7;

(d) Any claim relating to the condition of items or surfaces caused by ordinary wear, latent defect, or pre-existing damage;

(e) Loss or damage not notified to the Company within twenty-four (24) hours of the completion of the relevant Service appointment.

10.4 Non-Exclusion of Statutory Rights

10.4.1 Nothing in these Terms and Conditions shall be construed to limit or exclude any liability that cannot lawfully be excluded under applicable United States federal law or the laws of the State of Texas, including the Texas Deceptive Trade Practices-Consumer Protection Act and other applicable consumer protection statutes.

10.4.2 Nothing in these Terms and Conditions limits the Company’s liability for death or personal injury caused by the Company’s gross negligence or willful misconduct.

10.5 Loss of Client Property

10.5.1 The Company takes reasonable precautions to ensure the security of the Client’s Property during the provision of Services. However, the Company shall not be liable for any loss, theft, or misplacement of personal belongings or valuables that the Client has failed to secure in accordance with clause 7.4.

10.5.2 Any claim by the Client for alleged theft or loss of property must be reported to the Company in writing within twenty-four (24) hours of the completion of the Service and must also be reported to the relevant law enforcement authority where appropriate.

SECTION 11 – PHOTOGRAPHY AND SOCIAL MEDIA

11.1 The Company does not take photographs, video recordings, or other images of the Client’s Property, its contents, or occupants for marketing, promotional, social media, or any other commercial purposes without the prior express written consent of the Client.

11.2 Where the Client provides written consent for the Company to photograph or record images of the Property, such consent may be withdrawn by the Client at any time by notifying the Company in writing. Withdrawal of consent will apply to future use only and will not require the Company to remove images already published with valid consent.

11.3 Where the Client has provided consent, any images used by the Company for marketing or promotional purposes will not include personally identifiable information, such as house numbers, names, or faces of occupants, without the Client’s specific additional consent.

11.4 The Client acknowledges that Service Providers may use mobile devices for operational purposes such as checking in, completing service checklists, or documenting pre-existing damage. Such operational use does not constitute marketing photography and will be conducted in accordance with the Company’s Privacy Policy.

11.5 Clients who use social media and choose to post reviews, images, or commentary relating to the Company’s Services are responsible for ensuring that any content they publish is accurate and fair. The Company reserves the right to respond publicly to inaccurate or misleading reviews.

SECTION 12 – DATA PROTECTION AND PRIVACY

12.1 The Company collects and processes personal data relating to Clients in connection with the provision of Services and the management of its business. Such data is processed in accordance with applicable United States federal and state privacy laws.

12.2 The Company’s full Privacy Policy, which sets out in detail the categories of personal data collected, the purposes for which that data is used, the legal bases for processing, and the rights available to Clients, is available on the Website at https://swishcleans.com/ and is incorporated by reference into these Terms and Conditions.

12.3 By entering into this Agreement, the Client acknowledges that they have reviewed the Company’s Privacy Policy and consents to the collection and processing of their personal data as described therein.

12.4 The Company will not sell, rent, or share the Client’s personal data with third parties for their own marketing purposes without the Client’s express consent.

12.5 Clients may exercise any rights available to them under applicable privacy law by contacting the Company at hello@swishcleans.com.

SECTION 13 – SUBCONTRACTORS

13.1 The Company may, at its discretion, engage vetted and appropriately trained third-party subcontractors or independent contractors to perform or assist in the performance of the Services.

13.2 Where subcontractors are engaged, the Company will ensure that such individuals are subject to appropriate vetting, background checks, and confidentiality obligations consistent with the Company’s own standards.

13.3 The use of subcontractors does not affect the Client’s rights under this Agreement or under applicable law. The Company remains responsible and accountable to the Client for the delivery of the Services in accordance with this Agreement, regardless of whether those Services are performed by employees or subcontractors.

13.4 The Client consents to the use of subcontractors for the purpose of delivering the Services by entering into this Agreement. Where a Client has a specific objection to the use of a particular subcontractor, they may raise this with the Company, and the Company will give reasonable consideration to such concerns.

SECTION 14 – FORCE MAJEURE

14.1 Neither party shall be liable to the other for any failure or delay in the performance of their obligations under this Agreement to the extent that such failure or delay is caused by a Force Majeure Event, provided that the affected party:

14.1.1 Notifies the other party in writing as soon as reasonably practicable of the nature of the Force Majeure Event and its expected duration; and

14.1.2 Uses reasonable efforts to mitigate the effects of the Force Majeure Event and to resume performance of its obligations as soon as reasonably practicable.

14.2 Where a Force Majeure Event prevents the Company from delivering a scheduled Service, the Company will offer the Client an alternative appointment at the earliest available date. The Client will not be charged for any appointment that the Company is unable to fulfill due to a Force Majeure Event.

14.3 If a Force Majeure Event continues for a period of thirty (30) consecutive days or more, either party may terminate the affected Booking or Recurring Booking arrangement by giving written notice to the other party, without liability for the cancellation, subject to the Client receiving a refund of any prepaid Charges for Services not yet delivered.

SECTION 15 – GOVERNING LAW AND JURISDICTION

15.1 These Terms and Conditions and any Agreement entered into under them shall be governed by and construed in accordance with applicable United States federal law and the laws of the State of Texas, without regard to its conflict of laws principles.

15.2 The parties agree that any dispute, claim, or legal proceedings arising out of or in connection with this Agreement that cannot be resolved in accordance with Section 9.4 shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

15.3 Nothing in this clause affects any rights that a Client may have as a consumer under applicable federal or state consumer protection law, including the Texas Deceptive Trade Practices-Consumer Protection Act, Texas Business and Commerce Code, Chapter 17, as amended.

15.4 The Company operates in compliance with all applicable federal and state laws governing the provision of residential cleaning services, including applicable employment, tax, and licensing obligations.

SECTION 16 – TERMINATION

16.1 Either party may terminate an individual Booking or a Recurring Booking arrangement by giving written notice to the other party, subject to the notice requirements and cancellation fee provisions set out in Section 6 of these Terms and Conditions.

16.2 The Company may terminate this Agreement immediately upon written notice to the Client in any of the following circumstances:

16.2.1 The Client commits a material breach of these Terms and Conditions and fails to remedy such breach within seven (7) days of being notified to do so;

16.2.2 The Client has an unpaid outstanding balance that remains unsettled following notification from the Company;

16.2.3 The Client or any occupant of the Property has engaged in abusive, threatening, or unsafe behavior toward Service Providers;

16.2.4 The Company reasonably determines that the continuation of Services would pose a health or safety risk to its Service Providers.

16.3 Termination of this Agreement shall not affect any rights, remedies, obligations, or liabilities that have accrued prior to the date of termination.

SECTION 17 – CHANGES TO THESE TERMS AND CONDITIONS

17.1 The Company reserves the right to update, amend, or revise these Terms and Conditions at any time. The most current version of the Terms and Conditions will be published on the Website and will include an updated “Last Updated” date at the top of the document.

17.2 Where changes to these Terms and Conditions materially affect the Client’s rights or obligations, the Company will endeavor to provide the Client with advance notice of such changes, which may be given by email or through a notice on the Website.

17.3 Changes to the Terms and Conditions will take effect from the date of publication on the Website, unless a later effective date is specified. The Client’s continued use of the Company’s Services following the publication of updated Terms and Conditions constitutes acceptance of those changes.

17.4 Where a Client does not accept revised Terms and Conditions, they should notify the Company in writing and discontinue use of the Services. Where a Client notifies the Company of their non-acceptance prior to the effective date, the parties will discuss the matter in good faith, and the Client may terminate any Recurring Booking arrangement without incurring a cancellation fee as a result of that specific change.

SECTION 18 – GENERAL PROVISIONS

18.1 Entire Agreement

These Terms and Conditions, together with any Booking Confirmation and any written quotation provided by the Company, constitute the entire agreement between the Company and the Client with respect to the Services and supersede all prior negotiations, representations,
